Terms and Conditions

1. Definitions

• "Services" refers to Biz Secure Online’s subscription software for cybersecurity vulnerability detection and reporting and, where you engage them, our managed and professional services.
• "Customer" or "you" refers to the entity or person creating an account and using the Services.
• "Subscription Term" refers to the monthly period you have paid for.

2. Scope of Services

We provide hosted software for cybersecurity vulnerability detection and reporting to SMEs. Availability is targeted at 99% monthly uptime, excluding planned maintenance and events beyond our reasonable control. No service credits apply.

3. Account Registration & Eligibility

You must provide accurate account information and maintain security of login credentials. If you are a business, you warrant you have authority to bind the organisation.

4. Subscriptions, Fees & Taxes

Fees are billed in AUD, exclusive of applicable taxes unless stated, and are payable in advance each month. Automatic monthly renewal applies until cancelled by the account holder. One calendar month cancellation notice is required.

5. Cancellation

You may cancel with one calendar month written notice, effective at the end of the current monthly term. Automatic monthly renewal continues until cancellation.

6. Your Responsibilities

Use Services lawfully; do not attempt to bypass security or misuse scanning in ways that breach law or third-party rights.

7. Data Protection & Privacy

We comply with the Privacy Act 1988 (Cth) and Australian Privacy Principles. Our application hosting and data storage are in Australia. Some providers process specific data outside Australia, as set out on our Sub-Processor List. See our Privacy Policy for full details.

7A. Managed and Professional Services

Retainers, managed services and project work are provided under our Master Services Agreement (or a separate service agreement you have signed with us) and a statement of work. If those documents conflict with these Terms for those services, they prevail.

• Retainers: priced and billed monthly in Australian dollars, excluding GST, and month to month unless your statement of work sets a minimum term. Outside a minimum term you may cancel at any time; cancellation takes effect at the end of the month already paid. Hands-on time is included up to the hours in your plan; anything beyond that is quoted before it starts.
• Microsoft 365 Managed Security Service: we access your Microsoft 365 only through admin access that a Global Administrator in your business approves, using only the roles the work needs and never the Global Administrator role. We make changes only with your prior approval in writing, by email from an authorised contact or through a request in our portal, and keep a record of each approval. We do not extend our access automatically; we ask you to approve a renewal before it expires. You may remove our access at any time, and when the service ends we remove it within 2 business days.
• Partner-delivered services: penetration testing, dark web monitoring, and social engineering assessment and training are delivered by our partner, and information about them may be processed in South Africa, as set out on our Sub-Processor List.

8. Marketing Communications

We send emails/SMS for registration confirmation, report notifications, user experience and product feature surveys. Newsletter communications require opt-in consent.

9. Intellectual Property

All Service IP is owned by Biz Secure Online or its licensors. You receive a limited, non-transferable right to use the Services during the Subscription Term.

10. Warranties & Consumer Guarantees

Nothing in these Terms excludes rights under the Australian Consumer Law. Services are provided with reasonable care and skill.

11. Limitation of Liability

To the maximum extent permitted by law, liability for failure to comply with a guarantee may be limited to resupplying the Services or paying the cost of resupply.

12. Governing Law & Venue

These Terms are governed by the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of the courts of Queensland.
